The use of https://ascentlegal.io/ (along with all subdomains, collectively, hereafter the “Ascent Legal Website”), which is owned and maintained by Ascent Legal A.P.L.C (“Ascent Legal A.P.L.C,” “Ascent Legal”, “we,” “our,” or “us”), is governed by the policies, terms and conditions set forth below. Please read them carefully. We offer the Ascent Legal Website, including all information, tools and services  (collectively “Services”) available from the Ascent Legal Website to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. By accessing, using, or subscribing to the Ascent Legal Website, you and your business agree to these Terms of Use (“Terms of Use” or “Terms”) set forth herein. If you do not agree to these Terms in their entirety, you are not authorized to use the Ascent Legal Website. Please note that these Terms contain an Arbitration Provision and a Waiver of Jury Trial and Class Action.

From time to time, Ascent Legal may modify, add, or delete portions of these Terms and will post those changes to the Ascent Legal Website. The amended Terms will automatically be effective when posted on the Ascent Legal Website. In addition, Ascent Legal reserves the right to change and improve the features and functionality of Services at any time, which includes adding, modifying or removing features and functionality of the Services, or updating how our Services are provided. Ascent Legal further reserves the right to suspend or terminate the Services for any reason or at any time.

1. No Legal Advice or Attorney-Client Relationship

Information contained or made available through the Ascent Legal Website is not intended to and does not constitute legal advice, recommendations, mediation or counseling under any circumstance. The Ascent Legal Website and your use thereof does not create an attorney-client relationship. Ascent Legal does not warrant or guarantee the accurateness, completeness, adequacy or currency of the information contained in or linked to the Ascent Legal Website. Ascent Legal has a policy of entering into attorney-client relationships with its clients only in accordance with certain procedures which include executing an engagement letter and addressing professional responsibility conflicts as required by the Bar Associations of the states in which Ascent Legal maintains offices.

2. Additional Matters of Professional Responsibility

2.1 No Advertising or Solicitation. The Ascent Legal Website is not intended to be an advertisement or solicitation, but may be deemed an advertisement in certain jurisdictions.

2.2 Authorized Jurisdictions; Certifications. While Ascent Legal practices law in the jurisdictions in which its offices are located as well as other jurisdictions, each Ascent Legal attorney is licensed to practice only in those jurisdictions set forth in that attorney’s biography on the Ascent Legal Website. Except as specifically stated, each Ascent Legal attorney is not certified (including as a specialist) by any professional or government authority. 

2.3 No Warranty of Results. The Information may contain descriptions of matters in which Ascent Legal successfully represented its clients. The results of these matters were dependent on their specific circumstances, and are in no way intended to be predictive of future results, even in similar circumstances, or offer any type of guarantee or assurance of outcome. Information pertaining to Ascent Legal clients may not reflect the opinions of such clients.

3. Privacy

With respect to information submitted or collected on the Ascent Legal Website, You accept Ascent Legal’s privacy policy as set forth in this Section 3. This Section 3 does not pertain to, and Ascent Legal is not responsible for the privacy practices of, any third party websites to which the Ascent Legal hyperlinks. Certain areas of the Ascent Legal Website may be subject to additional privacy-related provisions, links to which will be posted in those areas.

3.1 Activity Logging. When you use the Ascent Legal Website, which may be hosted in part or its entirety by a third party, the Ascent Legal Website will collect information indirectly and automatically (through, for example, the use of “cookies” or your “IP address”) about your activities. Ascent Legal uses this activity information (the “Activity Information”) for internal purposes such as to administer the Ascent Legal Website, improve the Ascent Legal Website, and help Ascent Legal understand how the Ascent Legal Website is being used including the demographics and “clickstreams” of its visitors. “Cookies” are small pieces of information stored on your hard drive, not on the Ascent Legal Website. You are always free to decline cookies if your browser permits, but in that case, some portions of the Ascent Legal Website may not operate properly. An “IP address” is a number that is automatically assigned to your computer when you use the internet.

3.2 Personally Identifiable Information. The Ascent Legal Website is designed so that you may generally browse it without providing any Personally Identifiable Information (defined below). Certain areas of the Ascent Legal Website, however, may require or allow the voluntarily submission of Personally Identifiable Information (for example, registration to receive Ascent Legal publications). Ascent Legal uses your Personally Identifiable Information for the purposes for which it was submitted by you to Ascent Legal and for Ascent Legal to send you publications and invitations that may be of interest to you. Except as otherwise set forth in this Section 3.2, Ascent Legal does not share your Personally Identifiable Information with third parties. “Personally Identifiable Information” means information that would allow someone to identify or contact you, such as your name, physical or electronic mail address, and telephone number; provided, however, that Personally Identifiable Information does not include aggregated information that, by itself, does not permit the identification of individual persons and does not include the Activity Information.

3.3 Removal of Personally Identifiable Information. Ascent Legal will use reasonable efforts to remove your Personally Identifiable Information from our then current Ascent Legal Website at any time upon your request sent to info@ascentlegal.io. Such removal of Personally Identifiable Information will not ensure the permanent removal of such Personally Identifiable Information from the Ascent Legal Website. For example, such Personally Identifiable Information may remain in Ascent Legal’s archival or backup copies of the Ascent Legal Website.

3.4 Additional Disclosure of Personally Identifiable Information. Ascent Legal may share Personally Identifiable Information with third parties, including affiliated firms and third parties performing services for or on behalf of Ascent Legal. Such services may include communications, database, event management, hosting, mailing, and marketing services. Additionally, Ascent Legal cannot fully ensure that your Personally Identifiable Information will not be disclosed to third parties. For example, Ascent Legal may be legally obligated to disclose information to the government or third parties under certain circumstances, third parties may circumvent Ascent Legal’s security measures to unlawfully intercept or access transmissions or private communications, or an error may occur in the administration of the Ascent Legal Website. In the unlikely event that Ascent Legal needs to investigate or resolve possible problems or inquiries, Ascent Legal may, and you authorize Ascent Legal to, disclose any information about you to government officials as permitted by applicable law.

3.5 Miscellaneous Privacy Terms. Ascent Legal has implemented and follows appropriate technical measures to protect against the risks of unauthorized access to, erroneous disclosure of, and unlawful interception of Personally Identifiable Information. You should know, however, that Ascent Legal cannot fully eliminate such risks. Ascent Legal hopes this Section 3.5 clarifies Ascent Legal’s procedures regarding its collection, use and disclosure of Your information including Personally Identifiable Information. From time to time, Ascent Legal may modify this Section 3.5. Such modifications will be effective on the date that Ascent Legal posts the modified statement to the Ascent Legal Website. 4. Use of Account:Prohibited Actions.

Ascent Legal reserves the right to refuse service, cancel service orders, terminate accounts, or remove or edit content, in its sole discretion. You agree, represent and warrant that you will provide us with true, current, complete and accurate information in connection with your use of the Ascent Legal Website and the Services. You also represent that you are using your account for a lawful purpose – you may not use your account or the Ascent Legal Website or Services for the purpose of committing or furthering fraudulent acts or for committing any acts that would give rise to both or either civil and criminal liability. You also agree to notify us immediately of any unauthorized access to or use of your account.

You agree not to access the Ascent Legal Website by any means other than through a commercially available web browser. You are not permitted to upload material onto the Ascent Legal Website that you should know or do know infringes on the intellectual property rights of others, and you may not upload material that places unnecessary load so as to affect the performance of the Ascent Legal Website, or Ascent Legal systems and equipment. You may not use the Ascent Legal Website or the Services in a manner that could block access to, impair, damage or otherwise disable Ascent Legal or any of our servers. You may not attempt to gain unauthorized access to the Ascent Legal Website or to any other user’s accounts, computer systems, or networks through password mining, keystroke logging, hacking, or any other means.

You will not upload any files that contain viruses, Trojan horses, malware, spyware, worms, corrupted files, or any other material or software that may damage the operation of another computer. Any and all materials uploaded are subject to applicable federal, state, and international laws.

5. Indemnification.

You agree to defend, indemnify, and hold harmless Ascent Legal, its affiliates, related entities, divisions, subsidiaries, or parent companies, its officers, directors, employees, affiliates and agents from and against any claims, losses, damages, fines, penalties or other liabilities in any way associated with: (i) your use of and access to the Ascent Legal Website or Services; (ii) your violation of any of these Terms; and (iii) your violation of any third party right including any copyright, trademark, trade secret, or privacy right related to your user content (as applicable) or use of the Ascent Legal website. Ascent Legal reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Ascent Legal in asserting any available defenses.

YOUR USE OF THE SITE IS AT YOUR OWN RISK. ASCENT LEGAL MAKES NO REPRESENTATION AS TO THE COMPLETENESS, ACCURACY OR CURRENCY OF ANY INFORMATION ON THIS WEBSITE. THE CONTENT AND INFORMATION FOUND ON THIS WEBSITE ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY FOR THE PRODUCTS, INFORMATION OR SERVICES PROVIDED THROUGH OR IN CONNECTION WITH THIS WEBSITE AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, EXPECTATIONS OF PRIVACY OR NON-INFRINGEMENT. ASCENT LEGAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR EMAILS, THIS WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

7. Limitation of Liabilities. 

TO THE FULLEST EXTENT PERMITTED BY LAW: IN NO EVENT WILL ASCENT LEGAL (OR ITS OFFICERS, DIRECTORS, AFFILIATES, AGENTS, SUBSIDIARIES, RELATED ENTITIES, JOINT VENTURES AND EMPLOYEES) BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY OR SPECIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE, THE USE OR INABILITY TO USE THE WEBSITE, SERVICES, OR CONTENT INCLUDING ANY LOSS OF REVENUE, PROFITS, OR DATA OR BUSINESS INTERRUPTION, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, AND EVEN IF ASCENT LEGAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ASCENT LEGAL AGGREGATE LIABILITY (OR THE AGGREGATE LIABILITY OF ITS OFFICERS, DIRECTORS, AFFILIATES, AGENTS, SUBSIDIARIES, RELATED ENTITIES, JOINT VENTURES AND EMPLOYEES) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE, THE WEBSITE, OR THE SERVICES (WHETHER IN CONTRACT, TORT, NEGLIGENCE, WARRANTY, OR OTHERWISE) EXCEED $100. ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE WEBSITE MUST BEGIN WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

8. Notice of Arbitration Provision and Waiver of Jury Trial and Class Action

PLEASE READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any and all disputes relating to or arising from the Terms or the Privacy Policy, including disputes regarding the validity of this arbitration clause, shall be settled by a single arbitrator in arbitration administered by the JAMS in accordance with the JAMS Streamlined Arbitration Rules and Procedures, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be Los Angeles, California. The arbitration shall be governed by the laws of the State of California. Each party shall bear its own costs and expenses and an equal share of the arbitrators’ and administrative fees of arbitration. This agreement to mediate and/or arbitrate is a final and irrevocable waiver of the opportunity to file a lawsuit in court to resolve claims and the right to a jury trial to the fullest extent permitted by law.

Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis and neither you nor Ascent Legal will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity. No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings. The client should carefully consider this and other provisions of these Terms and Privacy Policy and has the right to consult legal counsel regarding this provision. If there is a conflict between JAMS Rules and the rules set forth in these Terms, the rules set forth in these Terms will govern. If any other provision of this section is found to be illegal or unenforceable, that provision will be severed, with the remainder of this section remaining in full force and effect.

9. Miscellaneous. 

You agree that any dispute arising out of or in connection with the Ascent Legal Website or these Terms will be governed by the laws of the State of California without reference to conflict of laws principles that would require the application of the laws of any other jurisdiction, and you submit to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California. In the event that you gain access to information not intended to be accessed by you, you agree that you will immediately notify Ascent Legal and lawfully destroy all copies of such information in your possession.
